1. General Provisions and Subject of the Offer

This document is a public offer (the "Offer") within the meaning of Articles 435 and 437(2) of the Civil Code of the Russian Federation. The Offer is addressed to any person meeting the requirements of Section 4 (the "User") and is made by Individual Entrepreneur Andrey Aleksandrovich Kiselev, OGRNIP 319028000054109, INN 026403139827 ("Lotima", the "Provider").

The subject of the Offer is granting the User, for a fee (or free of charge within the scope of a free plan), access to the functionality of the online service for automated editing of short vertical videos available at lotima.ru (the "Service").

2. Terms and Definitions

"Account" — the section of the Service available to the User after registration and sign-in. "Materials" — video, audio, images, text, and other files the User uploads to the Service for processing. "Reel" — a finished short vertical video produced by the Service from the Materials. "Plan" — the usage plan selected by the User, with a defined scope of functionality, limits, and price, described on the Service's pricing page. "Billing Period" — the period covered by a Plan payment (by default, one calendar month from the payment date). "Refund Rules" — the Lotima Refund Rules published in the Service. "Statement" — the Lotima User Data Statement published in the Service.

3. Acceptance of the Offer

The Offer is accepted by the combination of the User's actions: registering an Account in the Service and confirming familiarity with the Offer (a checkbox in the registration form). Acceptance constitutes the User's full and unconditional agreement to all terms of the Offer without exceptions or reservations (Article 438 of the Civil Code). From the moment of acceptance, the Offer is a contract concluded between Lotima and the User.

Use of the paid functionality of the Service additionally requires payment for the selected Plan as set out in Section 7.

4. User Requirements

The Offer may be accepted by: a fully legally capable individual who has reached 18 years of age; a legal entity or individual entrepreneur acting through an authorised representative. By registering, the User confirms meeting these requirements. The Service is not intended for persons under 18 years of age.

5. Scope of Services and Plans

5.1. Lotima grants the User access to the Service's functionality within the scope of the selected Plan, including: uploading Materials; automated editing, including with the use of artificial-intelligence technologies (speech recognition, recognition of text on frames, locating the face and speaker position in frame for cropping without identifying the person and without biometric templates, assembling the reel, subtitles, adaptation to the publication format); previewing and assembling finished reels; downloading the results.

5.2. The scope of services under each Plan (number of reels per Billing Period, storage volume, number of brands, and other limits) is stated on the Service's pricing page and forms an integral part of the Offer. Plans without a fixed reel limit are provided on fair-use terms: Lotima may limit volumes that clearly exceed ordinary use of the Service by a single User, having notified the User in advance.

5.3. Where the User's Plan so provides (in particular, the free plan), finished reels carry a Lotima watermark. The composition of Plans and their limits may change as set out in Section 14; changes do not worsen the terms of an already paid Billing Period.

5.4. The service is deemed rendered when the User is granted access to the Service's functionality within the Plan's scope for the relevant Billing Period. Individual operations (assembling a reel) are deemed rendered when the finished result is made available to the User.

6. Account and Account Security

6.1. Registration is performed with an email address confirmed by a one-time code. The User may also set a password for signing in to the Account. After registration the User states how they wish to be addressed in the Service; this is not a legal given name, patronymic, or surname.

6.2. The User must keep Account access credentials confidential and promptly notify Lotima of any suspected unauthorised access. Actions performed through the User's Account are deemed the User's actions unless proven otherwise.

6.3. The User may link a Telegram chat to the Account in order to receive Service notices. Use of the bot is subject to this Offer.

7. Prices and Payment

7.1. Plan prices are stated on the Service's pricing page in Russian roubles and are not subject to VAT due to the Provider's the simplified taxation system and the VAT exemption under Article 145 of the Tax Code of the Russian Federation.

7.2. Payment is made as 100% prepayment for the Billing Period via the YooKassa payment service using the methods available in it (bank cards, SBP, and other methods shown on the payment page). Lotima does not receive or store bank card details: they are processed by the payment service. A fiscal receipt under Federal Law No. 54-FZ is sent to the User's email address.

7.3. If a Plan provides for automatic renewal, by paying for the Plan the User consents to the payment method being saved and to recurring charges of the Plan price for each subsequent Billing Period without additional confirmation. The User may disable auto-renewal at any time in the Account; in that case access under the Plan remains until the end of the paid Billing Period and no further charges are made.

7.4. Lotima notifies the User of a Plan price change no later than 14 calendar days before the start of the Billing Period to which the new price applies. The new price does not apply to Billing Periods already paid. If the User does not agree with the new price, they may disable auto-renewal before the start of the relevant Billing Period.

8. Refunds

Refunds are issued in the cases and in the manner established by the Refund Rules and applicable law, including the Russian Federation Law "On Protection of Consumer Rights". The Refund Rules form an integral part of the Offer. The User requests the guaranteed refund under the Refund Rules independently in the Account, from the payment history. Writing to care@lotima.ru is required when the Account does not accept the refund, and in the cases provided by the Refund Rules.

9. Intellectual Property

9.1. The User retains all rights to the uploaded Materials and to the reels created from them. The User grants Lotima a limited, non-exclusive, royalty-free licence to reproduce, adapt, and store the Materials solely to the extent necessary to provide the services under the Offer (including transferring the Materials to Lotima's technical subcontractors for processing), for the duration of the services.

9.2. The User warrants holding all rights necessary to upload and process the Materials, including rights to music, footage, images, and objects contained in the Materials, as well as the necessary consents of the persons depicted. The User is responsible for the content of the Materials and the lawfulness of their use.

9.3. The software, design, trademarks, databases, and other intellectual property of Lotima belong to Lotima or are used on lawful grounds. The Offer does not transfer to the User any rights to them other than the right to use the Service as intended.

9.4. The built-in sound-effects library is provided under the licences of the respective clips; where a clip's licence requires attribution, the attribution is included in the result and must not be removed by the User.

10. Prohibited Use

The User must not: upload Materials that infringe third-party rights or applicable law (including content whose distribution is restricted or prohibited); use the Service to create misleading, discriminatory, or otherwise unlawful content; take actions aimed at disrupting the Service, circumventing Plan limits, or gaining unauthorised access to other users' data; share Account access with third parties to circumvent Plan limits.

11. Rights and Obligations of the Parties

11.1. Lotima undertakes to provide access to the Service's functionality within the scope of the selected Plan, to make reasonable efforts to keep the Service operational, and to advise the User on the Service via the support address.

11.2. Lotima may: change the Service's functionality without materially reducing the scope of services in a paid Billing Period; carry out maintenance with temporary suspension of access, keeping its duration to a minimum; suspend or restrict the User's access in the cases provided for in Section 15.

11.3. The User undertakes to use the Service in accordance with the Offer and applicable law and to pay for the selected Plan in a timely manner.

12. Liability and Limitation of Liability

12.1. The Service is provided "as is". Lotima does not warrant that the Service will meet all of the User's expectations, or that automated processing results will meet any subjective editing-quality requirements; artificial-intelligence technologies are by nature capable of producing inaccurate results (including in speech recognition and subtitles), and the User reviews the result before publication.

12.2. Lotima is not liable for the content of the User's Materials and reels, for the actions of third parties (including payment services and communications operators), or for inability to use the Service for reasons beyond Lotima's control.

12.3. To the extent permitted by applicable law, Lotima's aggregate liability to the User under the Offer is limited to the amount paid by the User for the Billing Period preceding the event giving rise to liability. Nothing in the Offer limits the rights of a consumer User under the Russian Federation Law "On Protection of Consumer Rights".

13. User Data

Data entered by the User in the Service and the Materials are handled in accordance with the Lotima User Data Statement published in the Service. By accepting the Offer, the User confirms familiarity with the Statement.

14. Term and Amendment of the Offer

The Offer is effective indefinitely until withdrawn by Lotima. Lotima may amend the Offer; a new version is published in the Service with an updated version number and effective date at least 7 calendar days before it takes effect, and users are additionally notified of material changes by email or in the Service. Continued use of the Service after a new version takes effect constitutes the User's agreement to the updated terms; amendments do not apply to services already paid for at the time they take effect in a way that worsens their terms.

15. Suspension and Termination

15.1. The User may withdraw from the contract at any time by ceasing to use the Service. Account deletion is carried out on request to care@lotima.ru. The consequences for amounts paid are determined by the Refund Rules.

15.2. Lotima may suspend the User's access to the Service upon a breach of the Offer (including Section 10), upon a substantiated complaint from a rights holder, or upon detecting signs of fraud or abuse, notifying the User by email or in the Service with the reason stated. If the breach is not remedied or is material, Lotima may terminate the contract unilaterally out of court.

16. Governing Law and Disputes

The Offer and the parties' relations are governed by the law of the Russian Federation. Before going to court, a party sends the other party a written claim; the response period is 30 calendar days from receipt. If no agreement is reached, the dispute is referred to a court in accordance with the jurisdiction rules of Russian law; a consumer User may bring proceedings under the jurisdiction rules of the Russian Federation Law "On Protection of Consumer Rights".

17. Final Provisions

The invalidity of any individual term of the Offer does not invalidate the remaining terms. The Offer in its current version, together with the Refund Rules and the pricing page, constitutes the entire agreement of the parties on its subject matter and supersedes all prior arrangements on the same subject.
