1. Subject of the Offer

This document is a public offer (the "Offer") by PLACEHOLDER: legal entity name (referred to as "Lotima") addressed to any legally capable individual or entity (the "User") willing to accept its terms in full by performing the acceptance action described in Section 3. The subject of the Offer is access to an automated short-form vertical video editing service (the "Service") on the terms set out below.

2. Definitions

"Dashboard" means the area of the Service available to a User after registration. "Material" means the video, audio, and other files a User uploads for processing. "Plan" means the User's selected tier of the Service, with a defined scope of functionality and price. "Reel" means the finished short vertical video produced from a User's Material.

3. Acceptance

The Offer is deemed accepted from the moment an account is registered on the Service and the User confirms having read the Offer's terms. Acceptance means the User's full and unconditional agreement to all terms of the Offer.

4. Age and Capacity

The Offer may be entered into by a legally capable individual who has reached the age required by applicable law to conclude such transactions, or who acts with the consent of a legal representative, and by an entity acting through an authorised representative.

5. The Service

Lotima gives the User access to the Service's functionality corresponding to the selected Plan: uploading source Material, automated editing (including AI-assisted assembly, captions, and format-specific adaptation), and exporting finished Reels.

6. Rights and Obligations of the Parties

Lotima undertakes to provide access to the Service's functionality corresponding to the selected Plan, and to maintain the Service's operation to the standard reasonably expected of a service of this kind. The User undertakes to use the Service as intended, not to upload Material that infringes third-party rights or applicable law, not to attempt to disrupt the Service, and to pay for the selected Plan on time.

7. Rights in Material and Output

The User retains ownership of uploaded Material and of the Reels produced from it. The User grants Lotima a limited, non-exclusive licence to process Material solely to perform the Service under this Offer. Lotima's software, design, trademarks, and other intellectual property remain Lotima's (or are used under a valid licence); the Offer grants the User no rights in them beyond the right to use the Service as intended.

8. Fees and Payment

Plan pricing is published on the Service's pricing page. Payment is made in advance for the User's selected billing period. Currency, payment method, and billing frequency are fixed at the point the Plan is selected. Where a Plan auto-renews, the next period is billed automatically unless the User cancels renewal before it begins.

9. Liability of the Parties

Liability is limited as set out in applicable law and this Offer. Lotima is not responsible for the content of Material uploaded by the User, or for the acts of third parties. The Service is provided "as is"; to the extent permitted by law, Lotima's aggregate liability to the User under this Offer is limited to the amount the User paid for the billing period immediately preceding the event giving rise to the claim.

10. Term and Amendment

The Offer is valid indefinitely until withdrawn by Lotima. Users are notified of changes by publication of a new version of this document with an updated version number and effective date. Continued use of the Service after a new version takes effect constitutes the User's agreement to the updated terms.

11. Termination

The User may stop using the Service at any time by closing their account. Lotima may suspend or terminate a User's access to the Service for breach of this Offer, after notice by any means reasonably available to the Service.

12. Governing Law and Dispute Resolution

13. Miscellaneous

If any term of the Offer is held invalid, the remaining terms remain in effect. The Offer, together with all its versions, constitutes the entire agreement between the parties on its subject and supersedes any prior arrangements on the same subject.
